Terms and Conditions

These Terms and Conditions ("Terms") govern access to and use of the Warndon platform, including any associated software, dashboards, APIs, and related services (collectively, the "Service"). By creating an account, connecting a wallet or exchange integration, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, you must not access or use the Service.

This is a general template provided for informational purposes only. It does not constitute legal advice and has not been reviewed for compliance with any specific jurisdiction. Warndon recommends having this document reviewed by qualified legal counsel before relying on it.

1. Eligibility and Accounts

You must be of legal age in your jurisdiction of residence and have the authority to enter into a binding agreement to use the Service. You are responsible for maintaining the confidentiality of your account credentials, API keys, and any connected wallet or exchange access. You are solely responsible for all activity that occurs under your account, whether authorized by you or not.

You agree to provide accurate information when registering and to promptly update it if it changes. Warndon may suspend or terminate accounts that contain inaccurate, incomplete, or misleading information, or that are used in violation of these Terms.

2. Description of Service

Warndon provides predictive risk-management and automated hedging tooling intended to help users monitor and manage exposure across digital asset positions. The Service may generate signals, simulate outcomes, or execute automated actions on connected accounts based on configuration parameters set by the user.

The Service is a decision-support and automation tool. It does not guarantee any particular financial outcome, and nothing provided through the Service should be construed as investment, financial, tax, or legal advice. All trading, hedging, and configuration decisions remain your sole responsibility.

3. No Guarantee of Results

Digital asset markets are volatile and unpredictable. Automated hedging and predictive modelling are designed to reduce certain categories of risk, but they cannot eliminate market risk, counterparty risk, execution risk, connectivity risk, or the risk of loss. Past performance of any model, strategy, or simulation is not indicative of future results. You acknowledge that use of the Service may result in partial or total loss of capital.

4. User Responsibilities

  • Configuration accuracy You are responsible for correctly configuring risk parameters, thresholds, connected accounts, and any automation rules before activation.
  • Lawful use You agree not to use the Service for any unlawful purpose, to circumvent exchange terms, or to manipulate markets.
  • Security of credentials You must safeguard API keys, passwords, and connected wallet permissions, and notify Warndon promptly of any suspected unauthorized access.
  • Independent judgment You are responsible for independently evaluating whether the Service and any automated actions are suitable for your circumstances.

5. Fees

Access to certain features of the Service may be subject to fees, which will be disclosed prior to purchase or subscription. Fees are generally non-refundable except as required by applicable law or as otherwise expressly stated at the time of purchase. Warndon reserves the right to modify its fee structure, with reasonable notice provided to active users.

6. Third-Party Integrations

The Service may connect to third-party exchanges, wallets, data providers, or infrastructure ("Third-Party Services"). Warndon does not control and is not responsible for the availability, accuracy, security, or performance of Third-Party Services. Any issues arising from outages, API changes, rate limits, or errors originating from Third-Party Services are outside Warndon's control and may affect the performance of automated features.

7. Intellectual Property

All software, models, designs, trademarks, and content associated with the Service are the property of Warndon or its licensors and are protected by applicable intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose. No other rights are granted by implication or otherwise.

8. Suspension and Termination

Warndon may suspend or terminate access to the Service, in whole or in part, at its discretion, including where there is suspected misuse, violation of these Terms, legal or regulatory concern, or risk to the integrity of the Service. You may stop using the Service and close your account at any time, subject to any outstanding obligations.

9. Disclaimers

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted and error-free operation. Warndon does not warrant that predictive models or automated hedging actions will achieve any particular result.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Warndon, its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or exemplary damages, including loss of profits, data, or capital, arising from or related to your use of, or inability to use, the Service, even if advised of the possibility of such damages.

11. Indemnification

You agree to indemnify and hold harmless Warndon and its affiliates from any claims, damages, losses, or expenses, including reasonable legal fees, arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Changes to the Service and Terms

Warndon may update, modify, or discontinue any part of the Service at any time. These Terms may be amended from time to time; material changes will be indicated by updating the "last updated" date below. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law

These Terms shall be governed by the laws applicable in the jurisdiction in which Warndon operates, without regard to conflict-of-law principles. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the competent courts in that jurisdiction, unless otherwise required by applicable law.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid or unenforceable provision shall be deemed modified to the minimum extent necessary to make it enforceable.

15. Contact

Questions regarding these Terms can be directed through the contact channels listed on the Warndon contact page.
